Terms of Service

From everyone at Strmlytics, we thank you for your interest and/or usage of our products! We build them with a ton of passion and dedication to help you explore, monitor, and understand the live streaming landscape in the world of casino games. Ultimately, we want to make your products, brand, and business to grow. We put a lot of trust into our relationships with all of our customers, but since we might not know everyone personally, we have to put some Terms of Service in place to help keep our business alive.

When we say "Company", "we", "our", or "us" in this document, we are referring to the company behind the brand Strmlytics, Watch Forward AB. AB, in this case, stands for "Aktiebolag" in Swedish, which in English stands for a Limited Liability Company. We are proud of our heritage, being a Swedish company with headquarters in Stockholm, Sweden, making these Terms of Service bound to the laws of Sweden.

When we say "Services", we mean any product, application, feature, or data created and maintained by the Company that is provided to you via a web application, mobile application, document, or email.

When we say "Customer", "You", or "your", we are referring to the organizations or people that are customers or want to become a customer of ours.

When we say "Agreement," we mean the agreement of a Subscription License that refers to these Terms of Service.

We may update these Terms of Service in the future. Whenever we make a significant change to our Terms of Service, we will also announce them to all our existing customers. Finally, there may be times where we do not exercise or enforce any right or provision of the Terms of Service; in doing so, we are not waiving that right or provision. However, these Terms of Service do contain a limitation of our liability.

If you fail to comply with any of these Terms of Service, we may terminate your Agreement. We know that is a comprehensive statement, and it means you need to place a lot of trust in us. We will do our utmost to deserve that trust by delivering a great customer experience, being open about who we are and what we do, and always be keen on listening to your feedback.

LICENSE & ACCOUNT TERMS

We grant you a limited, non-exclusive, and non-transferable license solely for your internal business purposes. Our goal is to facilitate the growth of your current business through the use of our Services.

Upon subscribing to our Services, you commit to an initial term of service (the "Initial Commitment Period"), which is specified in your Agreement and outlines the total cost for the duration of the period.

After the Initial Commitment Period concludes, your Agreement will automatically continue. If you wish to terminate the agreement after this period, you must provide a written resignation. A three (3)-month resignation period will apply from the date we receive your notice. If you prefer not to continue our Services at the end of the Initial Commitment Period, you must inform us in writing at least thirty (30) days before it ends.

This structure ensures flexibility for your evolving business needs while allowing us to support you effectively during any transition.

PAYMENTS

The payments will be invoiced to you electronically via email and will be due within 30 days after the issue of the invoice. The invoices will either be paid upfront for the entire Agreement period, per month, or per quarter.

All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You are responsible for the payment of all taxes, levies, or duties.

TERMINATION

Your Agreement is effective until terminated. Your Agreement with us is designed to support the flexibility and continuity needed for your business through a structured approach to termination rights. If you wish to terminate the Agreement for cause, you can do so at any time by providing thirty (30) business days' prior written notice, indicating the specific "for cause" reason. "For cause" refers to situations where there's a breach of obligations under the Agreement and these Terms of Service. In the event that we fail to cure such breach within thirty (30) days after receiving a written notice from you, you will be entitled to a refund for any prepaid, unused portion of the service.

Following the conclusion of your Initial Commitment Period, the Agreement will automatically continue. If you decide to terminate the Agreement without a "for cause" reason, you must do so by providing a thirty (30)-day notice prior to the end of the Initial Commitment Period or, thereafter, by providing a three (3)-month resignation period from the day we receive your written notice. This approach facilitates orderly planning and transition, although it does not entitle you to a refund for the remaining period of the Agreement.

We also hold the right to terminate the Agreement with thirty (30) business days' prior written notice. In the unlikely event that we exercise this right, we commit to acting in good faith and will reimburse any prepaid fees for services that would have been provided beyond the termination date.

Upon termination, we will prevent further access to our Services by deactivating your account(s), and reserve the right to delete any data associated with your account after 30 days from the termination date, safeguarding both your interests and ours in the transition.

MODIFICATIONS TO THE SERVICES AND PRICES

You are very important to us, and we make a promise to support our Services by continuously improving, supporting, and helping you make the most out of our Services. Quite frequently, we upgrade our Services, and we reserve the right to do so, with or without any notice, to create even better Services for you. We reserve the right at any time to modify or discontinue, temporarily or permanently, any part of our Services with or without notice.

Sometimes we might change the pricing structure for our products. When we do so, we will give at least 30 days' notice before the changes take effect.

We reserve the right to create new products or services with an additional fee that will be part of our Services. As an existing customer, you will have the possibility to add these new products or services to your Agreement.

UPTIME AND PRIVACY

Your use of the Services is at your sole risk. We provide all our Services on an "as is" and "as available" basis. We do not offer service-level agreements, but we take the uptime of our Strmlytics Application very seriously.

We only store your email address and username connected to your Twitch account, which is used to access the Strmlytics Application. We do not retain, use, disclose, or sell any of that information for any other commercial purposes.

You agree that the Services are, and will remain, the intellectual property of our Company. Accordingly, these Terms of Service do not grant you any right to, or in, patents, copyright, database rights, trade secrets, trade names, trademarks, or any other rights or licenses regarding our Services.

You agree not to sublicense, distribute, copy, modify, adapt, translate, reverse engineer, disassemble, decompile, rent, lease, sell, assign or transfer rights to any portion of our Services. We know it's a long sentence, but we have put a lot of effort into developing and designing our Services, so we want to make sure to protect them.

You also may not use, post, transmit or introduce any software or malware that interferes with the operation of our Services. Of course, we would never think that you would do this, but we need to put it in here since it could harm our business if this would happen.

CONFIDENTIALITY

Sometimes you might share sensitive or confidential information with us. In such cases, you can trust us not to disclose that information to anyone. We mention this since we want to be transparent and let you know that we might have some of your competitors as customers, and any confidential information you share with us won't be shared with anyone. In a case where we would share confidential information with you, we expect you not to disclose any confidential information with anyone either. The trust of keeping secrets goes both ways.

FEATURES AND BUGS

We carefully design our Services based on our extensive experience and the feedback we get from our customers. We also test all of our features extensively before shipping them. As with any software, our Services inevitably have some bugs. We track the bugs reported to us and work through priority ones. However, not all reported bugs will get fixed, and we don't guarantee completely error-free Services.

There is no such thing as a Service that pleases everybody to one hundred percent. Therefore, we make no guarantees that our Services will meet your specific requirements or expectations.

LIABILITY

We previously have mentioned liability in these Terms of Service, but we wanted to put them all into one section:

You expressly understand and agree that the Company shall not be liable, in law or in equity, to you or to any third party for any direct, indirect, incidental, lost profits, special, consequential, punitive or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if the Company has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Services; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Services; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to this Terms of Service or the Services, whether as a breach of contract, tort (including negligence whether active or passive), or any other theory of liability.

What you essentially are doing when choosing to use our Services is to put your trust in us. We assure you that we will do our utmost to be a trusted partner, through careful business management, by using the latest technology and hiring the best people to offer the best user experience when you use our services.

We will always go the extra mile to satisfy you with our Services. At the end of the day, though, it's rather our loss if you are not satisfied since we take a lot of pride in earning our customers' trust and making Strmlytics a brand known for creating the best possible customer experience.
